Language of the Agreement

II. Your Use of the Panel Services

You agree to use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and generally accepted industry standards. This defense and indemnification obligation will survive these Terms of Service and your use of the Services.

IX. Termination

Xcel Viewpoint may terminate or suspend your access to all or part of the Services, without notice, for any conduct that Xcel Viewpoint, in its sole discretion, believes is in violation of any applicable law or is harmful to the interests of another user, a third-party provider, a service provider, or Xcel Viewpoint. Upon termination, your right to use the Services will immediately cease, and you must destroy all materials obtained from the Services and all copies thereof.

X. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Xcel Viewpoint is established, without regard to its conflict of law provisions. You and Xcel Viewpoint agree to submit to the personal and exclusive jurisdiction of the courts located within that jurisdiction.
